AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and StepOnIt, doing business as StepOnIt ("StepOnIt ", “we”, “us”, or “our”).


We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason. We will alert you about any changes by updating the “Last updated” date of these Terms and Conditions, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions. 


ENTIRE AGREEMENT & APPLICATION

These Terms and Conditions will apply to the purchase of the product/s detailed in our quotation by the buyer (you) from StepOnIt.


These Terms and Conditions will be accepted by you when you accept them, purchase the product/s or from the date of any delivery of the product/s.


These Terms and Conditions and the price (together, the Contract) apply to the purchase and sale of any product/s between us and you.


The customer (you) is buying and fitting these products entirely at their own risk and ensuring they have carried out the relevant safety assessments including any potential fire safety requirements as per their specific door type. 



PRODUCTS 

Descriptions of the product/s set out online or in documentation are intended as a guide only. 


If you have any specific requirements to modify the product, these changes can be made in certain circumstances at our discretion. 


Under certain circumstances there will be no liability for the product/s;

  • If product/s are reported as damaged or incomplete they must not be used before returning. 
  • Any fault produced due to lack of following our oral or written instructions regarding storage, installation, use & maintenance.
  • Any fault due to general wear and tear or misuse/alteration/deliberate damage.


PURCHASES & PAYMENTS

All payments to be made in GBP.


The price is exclusive of fees for packaging and delivery. 


The price is exclusive of any applicable VAT and other taxes or levies which are imposed or charged by any competent authority. 


Discounts for volume orders may be provided at the discretion of StepOnIt. 


Prices are current at the time of purchase. We reserve the right to increase the price prior to delivery due to any factors outside of control e.g. material, labour, shipping, exchange rates etc. Any buyers that will be affected by this will be notified in advance. 


We have 14 day payment terms from the date of the invoice. Payment must be made even if you have not received the product/s. If these terms are not met, you will incur an interest charge of 4% above the base rate monthly until the outstanding amount is paid in full. 


The full amount must be paid unless authorised by us. 


DELIVERY 

Product/s will be delivered to the address specified in your order or any location agreed in writing. Product/s may be collected on request or if no address is provided. 


Delivery times may range from 8am-8pm. If there is no-one available to take the delivery we may arrange to store the product/s and will charge you for all associated costs & expenses such as transportation, insurance and storage. Alternatively we will make arrangements for the re-delivery & you will be charged for the associated cost. If redelivery is not possible the product/s must be collected. After 12 business days the product/s may be resold or disposed of and you will be charged for any unforeseen charges. 


Product/s must be checked on delivery or collection. Refer to Return Policy if there is an issue. 



RETURN POLICY

If you identify any damages or shortages, you must inform us in writing within 3 days of delivery, providing proof and detailing the damage/shortage. 


Other than by agreement, we will only accept returned product/s if we are satisfied that those product/s are defective. Subject to your compliance with this clause and/or our agreement, you may return the product/s and we will, as appropriate, repair, replace, or refund the product/s or part of them. 


If returning any product/s you will cover the risk and cost. Items to be returned must be within 7 days after delivery. 


CANCELLATION & ALTERNATION

We reserve the right to alter the product at any time without notice & to terminate any purchase orders. 


Cancellations cannot be made after a deposit has been paid, deposits are non-refundable. 


PROHIBITED ACTIVITIES 

You agree not to copy, reproduce or distribute our products without prior written consent from StepOnIt.

LIMITATION OF LIABILITY 

Liability under this contract will be limited to this clause. 


Subject to the clauses above on Inspection and Acceptance and Risk and Title, all warranties, conditions or other terms implied by statute or common law (save for those implied by Section 12 of the Sale of Goods Act 1979) are excluded to the fullest extent permitted by law. 


If we do not deliver the product/s, our liability is limited to not exceed the total amount of the price payable by you.


We will not be liable (whether caused by our employees, agents or otherwise) in connection with the product/s, for: a. any indirect, special or consequential loss, damage, costs, or expenses; and/or b. any loss of profits; loss of anticipated profits; loss of business; loss of data; loss of reputation or goodwill; business interruption; or, other third party claims; and/or c. any failure to perform any of our obligations if such delay or failure is due to any cause beyond our reasonable control; and/or d. any losses caused directly or indirectly by any failure or breach by you in relation to your obligations; and/or e. any loss relating to the choice of the product/s and how they will meet your purpose or the use by you of the product/s supplied.



The exclusions of liability contained within this clause will not exclude or limit our liability for death or personal injury caused by our negligence; or for any matter for which it would be illegal for us to exclude or limit our liability; and for fraud or fraudulent misrepresentation. 


TERM & TERMINATIONS

Full payment is required for any online orders before products will be shipped. 


Distributor orders;

  • Orders that are fulfilled from stock will be invoiced in full at the time of order. Delivery will not be made until the invoice is paid in full. 
  • Orders not in stock. you will be charged 50% upfront and 50% when manufacturing is complete.Manufacture will not commence until the initial deposit has been paid. Cost of shipping will be billed to the customer. 

Any dates quoted for delivery are approximate only. We will not be liable for any delay in delivery of the product/s that is caused by a circumstance beyond our control or your failure to provide us with adequate delivery instructions or any other instructions that are relevant to the supply of the product/s. 


The risk in the product/s will pass to you on completion of delivery. 


We can terminate the sale of Goods under the Contract where: a. you commit a material breach of your obligations under these Terms and Conditions; b. you are or become or, in our reasonable opinion, are about to become the subject of a bankruptcy order or take advantage of any other statutory provision for the relief of insolvent debtors; c. you enter into a voluntary arrangement under Part 1 of the Insolvency Act 1986, or any other scheme or arrangement is made with your creditors; or d. you convene any meeting of your creditors, enter into voluntary or compulsory liquidation, have a receiver, manager, administrator or administrative receiver appointed in respect of your assets or undertakings or any part thereof, any documents are filed with the court for the appointment of an administrator, notice of intention to appoint an administrator is given by you or any of your directors or by a qualifying floating charge holder (as defined in para. 14 of Schedule B1 of the Insolvency Act 1986), a resolution is passed or petition presented to any court for the winding up of your affairs or for the granting of an administration order, or any proceedings are commenced relating to your insolvency or possible insolvency. 


We will remain as owners of the product/s until payment has been received in full. 


Until you are deemed to be the owner i.e. full payment has been made, you must store the product safely and not alter the product in any way. 


We reserve the right to remove our product/s from your premises or that of a third party when they have not been paid for. 


COMMUNICATIONS

Terms & Conditions must be writing and signed by or on behalf of the party giving notice. 


Notices have been duely given when product/s are delivered during working hours, sent and a returned receipt has been issued all within 10 days of request. 


All notices under these Terms and Conditions must be addressed to the current address or email address to the other party. 


GOVERNING LAW 

If one or more of these Terms and Conditions is found to be unlawful, invalid or otherwise unenforceable, that / those provisions shall be deemed severed from the remainder of these Terms and Conditions (which will remain valid and enforceable). 


This Agreement shall be governed by and interpreted according to the law of the United Kingdom and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the UK courts. 



USER DATA  

You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.


When providing the product/s to the Buyer, the Seller may gain access to and/or acquire the ability to transfer, store or process personal data of employees of the Buyer. 


Both parties agree that where such processing of personal data takes place, the Buyer shall be 'data controller' and the Seller shall be the 'data processor' as defined in the General Data Protection Regulation (GDPR) as may be amended, extended and/or reenacted from time to time. 


For the avoidance of doubt, 'Personal Data', 'Processing', 'Data Controller', 'Data Processor' and 'Data Subject' shall 

have the same meaning as in the GDPR. 


We will only process Personal Data to provide the product/s as mentioned in these terms and conditions or as requested by and agreed with the Buyer, shall not retain any Personal Data longer than necessary for the Processing and refrain from Processing any Personal Data for its own or for any third party's purposes. 


We shall not disclose Personal Data to anyonr other than on a on a strict "need-to-know" basis and only under the same (or more extensive) conditions as set out in these terms and conditions or to the extent required by applicable legislation and/or regulations. 


We will implement details as pecified in our Data Protection Policy. 


Neither party shall be liable for any failure or delay that is beyond the reasonable control of that party. Such causes include any event that is beyond the control of the party in question. 



MISCELLANEOUS 

No waiver by us of any breach of these Terms and Conditions by you shall be considered as a waiver of any subsequent breach of the same or any other provision
